Environmental services company Clean Harbors Inc. has expanded its footprint in the United States with the acquisition of Terra Nova Solutions in an all-cash deal valued at $225 million. The transaction strengthens Clean Harbors’ presence in the Carolinas and adds significant capacity in hazardous and non-hazardous waste management, wastewater treatment, and industrial field services.
The acquisition reflects Clean Harbors’ continued strategy of expanding its technical and environmental service network across key industrial regions in the United States. The company confirmed that the deal was funded entirely with available cash and is expected to contribute around $45 million to $50 million in annual revenue once fully integrated.
Strong Expansion in the Carolinas Region
Terra Nova Solutions operates five facilities across North and South Carolina, serving industrial customers with waste treatment, wastewater processing, and solidification services. With this acquisition, Clean Harbors significantly expands its operational base in the region and strengthens its ability to support recurring industrial waste streams.
The newly added facilities increase the company’s processing capacity by approximately 35 million gallons of wastewater treatment and 85 million gallons of solidification services annually. This added infrastructure is expected to enhance Clean Harbors’ ability to serve manufacturing, energy, and industrial clients that require large-scale and consistent waste management solutions.
Leadership Highlights Strategic Fit
Clean Harbors co-CEO Mike Battles said Terra Nova is a strong strategic fit for the company’s existing waste-handling network. He highlighted that the business brings a long-standing customer base and established regional operations that align with Clean Harbors’ service model.
Co-CEO Eric Gerstenberg noted that Terra Nova has operated in the Carolinas for more than two decades. He also confirmed that approximately 100 employees will join Clean Harbors as part of the acquisition. The integration is expected to strengthen field service operations, including drum collection, tank cleaning, and vacuum truck services.
Fleet and Operational Integration
The transaction also includes Terra Nova’s fleet of about 150 specialized trucks and tankers. This addition will be integrated into Clean Harbors’ logistics and transportation network, improving service coverage and operational efficiency across its Technical Services and Field Services segments.
Clean Harbors expects to generate around $4 million in annual cost synergies after the first full year of integration. These efficiencies will come from improved operational alignment and network optimization across facilities and service lines.
Based on expected earnings before interest, taxes, depreciation, and amortization (EBITDA) of about $15 million, the deal reflects an implied post-synergy valuation multiple of approximately 11.8 times.
Continued Industry Consolidation
The acquisition comes at a time when the environmental services sector continues to see consolidation, with companies expanding through targeted regional deals to strengthen infrastructure and service capabilities. Clean Harbors has been active in this strategy, including earlier acquisitions that expanded its presence in states such as Ohio, Louisiana, and Texas.
The Terra Nova deal has received clearance from U.S. regulators, allowing the transaction to proceed without restrictions. Clean Harbors stated that the acquisition will play a key role in strengthening its long-term growth strategy by expanding capacity and improving service density in high-demand industrial regions.
