The firm was created at a time when American businesses were expanding rapidly. Railroads, banks, and industrial companies needed reliable legal advice to manage growth and avoid disputes. Sullivan & Cromwell aimed to meet this need by offering strong legal skills combined with a deep understanding of business. This early focus helped the firm build long-term relationships with major corporations.

Founders & Early Vision

Sullivan & Cromwell LLP was founded by Algernon Sydney Sullivan and William Nelson Cromwell.

Algernon Sullivan was known for his honesty and sense of public duty. He believed lawyers should guide clients responsibly, not just represent them in court. William Nelson Cromwell brought strong business knowledge and international experience. He later became involved in major global projects, including work related to the Panama Canal. Together, they built a firm that valued trust, professionalism, and long-term thinking. These values remain central to the firm today.

Rise & Growth Journey

In the early 20th century, Sullivan & Cromwell LLP became closely connected with leading banks and industrial companies. It advised clients in steel, energy, transportation, and finance. These early partnerships helped the firm grow steadily.

During the Great Depression and World War II, many businesses struggled. Sullivan & Cromwell adapted by expanding its work in restructuring, regulation, and international law. After World War II, American companies began investing overseas, and the firm followed them.

From the 1970s onward, the firm became a major player in mergers and acquisitions and capital markets. It advised companies on large takeovers, public offerings, and cross-border deals. Over time, it opened offices in major financial centers, including London, Paris, Frankfurt, Tokyo, Hong Kong, Beijing, and Sydney. Today, Sullivan & Cromwell operates as a global law firm with clients in many industries.

Services & Areas of Practice

Sullivan & Cromwell LLP provides high-level legal services rather than physical products. Its main practice areas include:

  • Mergers and acquisitions
  • Banking and finance
  • Capital markets
  • Corporate governance
  • Litigation and arbitration
  • Antitrust and regulatory law
  • Intellectual property

The firm is especially known for handling large and complex transactions. Its lawyers often advise on deals worth billions of dollars. Major banks, technology firms, energy companies, and multinational corporations regularly rely on its expertise.

Because of its strong reputation, clients often turn to the firm for sensitive matters that require confidentiality and careful judgment.

Achievements & Global Impact

Sullivan & Cromwell LLP consistently ranks among the world’s leading law firms in major legal directories and industry surveys. It is widely recognized for its work in corporate law, finance, and litigation. The firm generates annual revenues in the billions of dollars and operates under a partnership structure, where senior lawyers share responsibility and profits. This model supports long-term stability.

Over the decades, the firm has advised on many historic financial and corporate transactions, including major bank mergers, airline restructurings, and public offerings. It has also represented clients in important regulatory and antitrust cases. In the United States, its work supports economic development by helping companies raise capital, expand operations, and manage risks. Internationally, it helps promote stable business practices and legal standards.

Culture & Core Values

Sullivan & Cromwell LLP emphasizes quality, integrity, and teamwork. The firm expects its lawyers to maintain high ethical standards and strong professional discipline.

Training and mentoring are key parts of its culture. Young lawyers work closely with senior partners and receive guidance throughout their careers. This system helps maintain consistent standards across generations. The firm also maintains a strong commitment to pro bono work. It provides free legal services to nonprofit organizations and individuals who cannot afford representation. These efforts reflect the founders’ belief in public service.

Leadership and Management

Unlike most corporations, Sullivan & Cromwell does not have a traditional Chief Executive Officer. It operates as a partnership led by senior lawyers. The firm is currently guided by co-chairs Robert D. Giuffra Jr. and Scott D. Miller. Giuffra earned his undergraduate degree from Princeton University and his law degree from Yale Law School. After completing judicial clerkships, including at the U.S. Supreme Court, he joined Sullivan & Cromwell in 1989. He became known for his work in complex litigation and has represented major financial institutions and corporations in high-profile cases.

Miller received his undergraduate degree from Arizona State University and his law degree from Columbia Law School. He joined the firm in 1986 and built a strong practice in mergers, acquisitions, and capital markets. He advises clients on major domestic and international transactions. As co-chairs, Giuffra and Miller oversee the firm’s global strategy, partner development, and client relationships. Their combined strengths in litigation and corporate law have helped reinforce the firm’s leadership in both areas and support its continued growth.

Future Direction & Long-Term Strategy

Sullivan & Cromwell LLP continues to focus on emerging areas such as technology law, renewable energy, digital finance, and cybersecurity. It also strengthens its expertise in environmental regulation and data privacy as governments introduce new rules. The firm invests in modern technology and cross-office collaboration to improve efficiency. At the same time, it preserves its traditional emphasis on careful legal analysis and client trust. By balancing innovation with established values, the firm aims to remain competitive in a changing legal environment.

For more than 145 years, Sullivan & Cromwell LLP has played a major role in shaping corporate and financial law. From its origins in 19th-century New York to its present-day global reach, the firm has built its reputation on professionalism, integrity, and deep expertise. Through strong leadership, careful client service, and long-term vision, it continues to influence major business decisions around the world. With experienced co-chairs and a strong institutional culture, Sullivan & Cromwell remains well-positioned to serve global companies and institutions for many years to come.
